Terms & Conditions

Please read these terms carefully before placing an order with Precision Ergonomics.

1. Interpretation

'Contract' means any contract between the Company (Precision Ergonomics) and the Buyer for the sale and purchase of the Goods, incorporating these Conditions.

'Goods' means any goods agreed in the Contract to be supplied to the Buyer by the Company.

2. Application of Terms

2.1 Subject to any variation under condition 2.3, the Contract will be on these Conditions to the exclusion of all other terms and conditions.

2.2 No terms endorsed upon, or contained in, the Buyer's purchase order or other document will form part of the Contract simply as a result of such document being referred to in the Contract.

2.3 These Conditions apply to all the Company's sales and any variation to these Conditions shall have no effect unless expressly agreed in writing and signed by a Director of the Company.

2.4 Each order for Goods by the Buyer shall be deemed to be an offer by the Buyer to purchase Goods subject to these Conditions.

2.5 Each order placed by the Buyer shall be deemed to be accepted by the Company unless the Company notifies the Buyer within 3 working days that it does not accept the order.

2.6 The Buyer must ensure that the terms of its order and any applicable specification are complete and accurate.

3. Description

3.1 All material and specifications including weights and dimensions issued by the Company, and any descriptions or illustrations contained in the Company's catalogues, brochures and website, are issued for the sole purpose of giving an approximate idea of the Goods described in them. They will not form part of this Contract.

4. Delivery & Installation

4.1 Unless otherwise agreed in writing, the Company will arrange delivery of the Goods to the Buyer's premises in the UK.

4.2 Any dates specified by the Company for delivery are intended to be an estimate only. Please note that during some exceptional circumstances lead times can increase over 12 weeks.

4.3 The Company will not be liable for any loss caused directly or indirectly by any delay in the delivery of the Goods.

4.4 The Company will deliver to the ground floor entrance of the Buyer's premises and shall not assemble the Goods unless otherwise agreed.

4.5 The delivery date or period specified in the contract shall not be binding on the Company, although the Company will use its best endeavours to deliver within such periods.

4.6 Where agreed, the Company will install the Goods at the premises nominated by the Buyer. The Buyer shall give the Company all necessary access and facilities for installation. If the Buyer fails to provide and agree facilities within 7 days of delivery, the contract price shall become due forthwith.

5. Non-Delivery

5.1 In the event that the Buyer requires evidence of proof of delivery, the Buyer must request this within 30 days of the Invoice Date.

5.2 The quantity of any consignment as recorded by the Company upon despatch shall be conclusive evidence of the quantity received by the Buyer on delivery unless the Buyer can provide conclusive evidence proving the contrary.

5.3 The Company shall not be liable for any non-delivery of Goods unless written notice is given to the Company within 30 days of the expected delivery date.

5.4 Any liability for non-delivery shall be limited to replacing the Goods within a reasonable time or issuing a credit note at the pro rata Contract rate.

6. Risk & Title

6.1 The Goods are at the risk of the Buyer from the time of delivery.

6.2 Ownership of the Goods shall not pass to the Buyer until the Company has received full payment of all sums due in respect of the Goods and all other sums due from the Buyer.

6.3 The Buyer's right to possession of the Goods shall terminate immediately if the Buyer becomes insolvent, enters liquidation, has a receiver appointed, or fails to pay any sum due to the Company.

6.4 The Company shall be entitled to recover payment for the Goods notwithstanding that ownership has not yet passed.

6.5 The Buyer will grant the Company a licence to enter any premises where the Goods are stored in order to inspect or recover them where the Buyer's right to possession has terminated.

7. Price

7.1 Prices charged are those agreed between the Company and the Buyer as stated on the order confirmation.

7.2 Prices shown in the catalogue are exclusive of delivery and, if appropriate, installation and assembly charges.

8. Payment

8.1 Where the Buyer has an approved credit account, payment is due 30 days after the date of invoice.

8.2 Statutory interest will be applied on a daily rate to any invoices that exceed 30 days from the invoice date.

8.3 Time for payment shall be of the essence.

8.4 No payment shall be deemed to have been received until the Company has received cleared funds.

8.5 Interest on late payments will be charged at 4% above the base rate of RBS.

9. Liability

9.1 The Company accepts liability as set out in this Clause 9 but not otherwise.

9.2 The Company warrants that the Goods shall be of satisfactory quality and fit for purpose. The Company does not exclude or restrict its liability for breach of this warranty.

9.3 If the Buyer is a consumer, the Buyer's statutory rights are not affected by these terms and conditions.

9.4 All Goods supplied by the Company are warranted free from defects for 12 months from the date of purchase, unless otherwise stated.

10. Matters Outside Our Control

10.1 The Company shall not be liable to the Buyer if the performance of any of its obligations is delayed or prevented by any matter outside the Company's reasonable control, including but not limited to fire, flood, lightning, extreme weather, industrial disputes, actions of government, war, acts of terrorism or vandalism, or power loss.

11. Cancellations & Returns

11.1 Custom made products cannot be returned.

11.2 In the very unlikely event that an item arrives faulty, please contact our Customer Services team and we will advise on next steps.
